Acceptance of Terms

By accessing or using the Dorazo platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms apply to all users, including individuals and organizations accessing the platform on behalf of a company.

Description of Service

Dorazo is an AI receptionist SaaS platform. The Service answers inbound telephone calls on behalf of a business, and can schedule appointments, take messages, and route callers. The Service integrates with Twilio for telephony and with Google Calendar for scheduling; the Google Calendar integration activates only when you connect your own account with that provider. The Service uses ElevenLabs for voice synthesis and Anthropic's Claude for conversation. Those names are trademarks of their respective owners; Dorazo is not affiliated with, endorsed by, or sponsored by any of them.

Dorazo is not a telecommunications carrier and does not provide telephone service. Call origination, termination, and number forwarding are provided by your telephony provider and are subject to that provider's terms. The Service is limited to software automation tooling.

Account Registration

To access the Service, you must create an account and provide accurate, up-to-date information. You are responsible for maintaining the security of your account credentials. You must not share your credentials or allow unauthorized parties to access your account. Dorazo is not liable for losses resulting from unauthorized account access caused by your failure to safeguard your credentials.

Acceptable Use

You agree not to use the Service to:

• Engage in any unlawful activity or violate applicable laws or regulations
• Scrape, harvest, or extract data from the platform without authorization
• Interfere with or disrupt the platform or its underlying infrastructure
• Attempt to gain unauthorized access to other accounts or systems
• Resell or sublicense access to the Service without prior written consent

Dorazo reserves the right to suspend or terminate accounts that violate these terms.

Payment Terms

Dorazo offers a 14-day free trial for new accounts. After the trial period, access requires a paid subscription billed monthly. Subscription fees are non-refundable after the trial period ends.

Service Availability

Dorazo uses commercially reasonable efforts to maintain platform availability but does not guarantee uninterrupted service. Scheduled maintenance, third-party API outages, or unforeseen technical events may cause service interruptions. Dorazo will use commercially reasonable efforts to provide advance notice of planned downtime.

Intellectual Property

Dorazo owns all rights to the platform, including its code, design, AI models, and related intellectual property. Nothing in these Terms grants you ownership of any part of the Dorazo platform.

You retain ownership of all data you provide to the Service, including call recordings, transcripts, contact records, and configurations. By using the Service, you grant Dorazo a worldwide, royalty-free license to: (a) process your data to provide, operate, and improve the Service; and (b) use aggregated, de-identified data derived from your use of the platform to develop, operate, and distribute industry intelligence products, market benchmarks, and data services. Dorazo will never sell or disclose your individually identifiable operational data to third parties without your explicit written consent.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. DORAZO DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR OPERATIONAL DECISION.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DORAZO'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO DORAZO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

DORAZO IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OPERATIONAL DISRUPTIONS, OR DAMAGES ARISING FROM THIRD-PARTY API FAILURES OR AI OUTPUT ERRORS.

Indemnification

You agree to indemnify and hold harmless Dorazo, its officers, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

Modifications to Terms

Dorazo may update these Terms at any time. We will notify users of material changes via email or a prominent notice within the platform. Continued use of the Service after such notice constitutes acceptance of the revised Terms.

Termination

Either party may terminate these Terms with 60 days' written notice. Dorazo may terminate immediately for material breach, illegal activity, or non-payment. Upon termination, your access to the Service will cease and your data will be retained for a reasonable period before deletion, in accordance with our Privacy Policy.

Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding individual arbitration under the rules of the American Arbitration Association. Class action and class arbitration proceedings are expressly waived.
